1. Acceptance of Terms
By using our services, which are provided by Sprite, Inc., you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
2. User Conduct
You agree to use our services for lawful purposes only and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of our services.
3. Sensitive Information and Intellectual Property
During the course using our services, you might share information with us, including but not limited to information relating to: (1) pricing; (2) inventory; (3) brand positioning; (4) customers; and (5) any other information you may share with us. With respect to such information, we will not share it with others, but you understand and agree that we may use it to improve the capabilities of our software, including training large language models or other so-called "artificial intelligence" systems. You hereby waive, in perpetuity, any and all rights related to intellectual property resulting from the use of such information or any other information you may provide. Any derived models, algorithms, and systems that utilize or are influenced by any such information, together with any software or systems related to or derived therefrom, are our exclusive property. Nothing in this agreement shall be construed to convey to you any rights or interest such software.
4. Limitation of Liability
We will not be liable for any damages related to your use or inability to use our services, exceeding the amount you paid for one month of our services.
5. Force Majeure
We will not be liable for failures to fulfill our obligations due to reasons beyond our reasonable control.
6. Termination
We reserve the right to terminate or suspend your access to our services, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users of our services, us, or third parties, or for any other reason. Additionally, if you decide to terminate your use of our services, you are required to provide us with thirty days written notice. This notice can be delivered via email. The notice period begins on the date the written notification is received by us. This requirement is intended to ensure a smooth transition and allows us to manage our services effectively.
7. Changes to Terms
We reserve the right to change these Terms of Service at any time. Continued use of our services after any such changes shall constitute your consent to such changes.
8. Governing Law
These Terms of Service and any disputes related to them or to our services will be governed by the laws of Delaware, without regard to its conflict of law principles.
9. Dispute Resolution
Any disputes arising out of or relating to these Terms of Service or our services will be resolved through binding arbitration in Delaware, rather than in court, except for claims that can be adjudicated in small claims court.
